Affiliate program terms and conditions

Welcome to the SquareHero Affiliate Program. By applying to and participating in our affiliate program, you agree to be bound by these Terms and Conditions ("Agreement"). Please read them carefully.

1. Agreement to Terms

By registering for the SquareHero Affiliate Program ("Program"), you ("Affiliate") agree to abide by these terms and conditions. SquareHero Limited ("SquareHero," "we," "us," or "our"), a company registered in New Zealand, reserves the right to modify these terms at any time. Continued participation in the Program after changes constitutes acceptance of the modified terms.

2. Program Overview

The SquareHero Affiliate Program allows approved affiliates to earn commissions by referring customers to our products, including Advanced Product Manager and other SquareHero offerings.

3. Application and Approval

  • All affiliate applications must be submitted through our affiliate platform and are subject to review and approval by SquareHero

  • We reserve the right to accept or reject any application at our sole discretion

  • Approval is not guaranteed and may be based on factors including but not limited to your website content, audience, promotional methods, and alignment with our brand values

  • Providing false or misleading information in your application may result in immediate rejection or termination

4. Commission Structure

Commission Rate: Affiliates earn 25% commission on all qualifying sales for the lifetime of the customer's subscription.

Qualifying Sales: Commissions are earned on new customer accounts only. Sales are attributed to affiliates when:

  • A customer clicks on your unique affiliate link

  • The customer creates a SquareHero account within 60 days of clicking your link (cookie duration)

  • The customer subscribes to a paid plan at any time after account creation

  • The referral code is permanently linked to that account

Recurring Commissions: You will continue to earn 25% commission for as long as the referred customer maintains an active subscription, regardless of when they initially subscribed after account creation.

Self-Referrals: Self-referrals are strictly prohibited and monitored. Affiliates may not use their own affiliate links to purchase SquareHero products for themselves, family members, employees, or entities they control. We employ fraud detection systems to identify and prevent self-referral abuse.

5. Payment Terms

Payment Schedule: Commissions are paid on Net-15 terms (15 days after the end of each calendar month).

Payment Method: Payments are made via PayPal. You must provide valid PayPal account information to receive payments.

Minimum Payout: There is no minimum payout threshold. All earned commissions will be paid according to the payment schedule.

Payment Currency: All payments are made in $USD.

Affiliate Dashboard: You can view your earnings, referrals, and payment history by logging into your affiliate dashboard at https://affiliates.squarehero.store/

6. Refunds and Chargebacks

Refund Policy: If a customer referred by you requests and receives a refund within 60 days of their purchase, the corresponding commission will be reversed.

How Clawbacks Work:

  • If the refund occurs before your commission has been paid (which is typical given our Net-15 payment schedule), the commission will simply not be included in your payment

  • If the refund occurs after your commission has been paid, the commission amount will be deducted from your future earnings

  • Negative balances will carry forward until offset by future commissions

This ensures commissions are only paid on completed, non-refunded sales while accounting for our payment schedule.

7. Tracking and Attribution

  • Affiliate tracking is managed through PromoteKit

  • Referrals are tracked via cookies with a 60-day duration

  • Once a customer creates an account through your affiliate link, that referral attribution is permanent, even if they subscribe months or years later

  • SquareHero is not responsible for tracking issues caused by users who block cookies, use private browsing, or clear their cookies

  • In cases of tracking disputes, SquareHero's records are final

8. Permitted Promotional Methods

Affiliates may promote SquareHero products through:

  • Personal websites and blogs

  • Email marketing to your own subscribers (not purchased or rented lists)

  • Social media channels

  • Video content (YouTube, etc.)

  • Educational content (courses, tutorials, guides)

  • Client recommendations and consultations

9. Prohibited Promotional Methods

Affiliates may NOT:

Paid Search Restrictions:

  • Bid on SquareHero brand terms in paid search campaigns (Google Ads, Bing Ads, etc.)

  • Bid on variations of our brand name including "SquareHero," "Square Hero," "Advanced Product Manager," or any trademarked terms

  • Use our brand terms in ad copy to redirect traffic intended for SquareHero

Email Marketing Restrictions:

  • Send unsolicited commercial email (spam)

  • Use purchased, rented, or scraped email lists

  • Use misleading subject lines or headers

  • Violate CAN-SPAM, GDPR, or other applicable anti-spam laws

Social Media and Content Restrictions:

  • Create fake accounts or personas

  • Make false, misleading, or exaggerated claims about SquareHero products

  • Impersonate SquareHero or claim to be an official representative

  • Use deceptive tactics to generate clicks or signups

Other Prohibited Activities:

  • Offer unauthorized discounts, bonuses, or incentives

  • Modify, alter, or create derivative works of SquareHero branding without permission

  • Generate fake or fraudulent referrals

  • Use cookie stuffing, auto-redirects, or other manipulative techniques

  • Engage in trademark or copyright infringement

  • Create iframe implementations, pop-ups, or pop-unders containing affiliate links

  • Promote SquareHero products on websites containing illegal, adult, discriminatory, or otherwise objectionable content

10. FTC Compliance and Disclosure Requirements

Required Disclosures: Affiliates must comply with the Federal Trade Commission (FTC) guidelines and similar international regulations regarding endorsements and affiliate relationships.

You must clearly and conspicuously disclose your affiliate relationship whenever you promote SquareHero products. Acceptable disclosure examples include:

  • "This post contains affiliate links, and I may earn a commission if you make a purchase."

  • "I'm a SquareHero affiliate and earn a commission on qualifying purchases."

  • "Affiliate disclosure: I may receive compensation if you purchase through these links."

Disclosures must be:

  • Placed before or alongside the affiliate link

  • Clear and unambiguous

  • Not hidden in footers, separate pages, or behind "read more" links

  • Visible on mobile devices

11. Intellectual Property and Branding

License Grant: Upon approval, SquareHero grants you a limited, non-exclusive, non-transferable license to use SquareHero trademarks, logos, and marketing materials solely for the purpose of promoting SquareHero products through the affiliate program.

Branding Guidelines:

  • You may use SquareHero's name and logo in promotional materials

  • You may NOT modify, alter, or create derivative works of SquareHero branding

  • You may create your own promotional materials (blog posts, videos, graphics) as long as they comply with these terms

  • You may use "SquareHero" in your domain name or social media handles (e.g., @SquareHeroTips), but may not impersonate SquareHero or claim to be an official representative

  • All use of SquareHero intellectual property must be professional and not damage our brand reputation

Ownership: All SquareHero trademarks, logos, and intellectual property remain the sole property of SquareHero Limited.

12. Term and Termination

Term: This Agreement begins upon your acceptance into the Program and continues until terminated by either party.

Termination by Affiliate: You may terminate your participation at any time by providing written notice to SquareHero. You will be paid any outstanding commissions earned prior to termination.

Termination by SquareHero: We reserve the right to terminate your participation in the Program for violation of these terms, including but not limited to:

  • Violation of any prohibited promotional methods

  • Fraudulent activity or self-referrals

  • Misrepresentation of SquareHero products

  • Failure to comply with FTC disclosure requirements

  • Damage to SquareHero's brand or reputation

  • Generating customer complaints

  • Inactivity for an extended period

Effect of Termination: Upon termination:

  • Your affiliate links will be deactivated

  • You must immediately cease all promotional activities using SquareHero branding

  • You will be paid any outstanding commissions earned prior to termination (subject to our refund policy)

  • Any pending commissions from referred customers who have not yet subscribed will be forfeited

13. Warranties and Representations

By participating in the Program, you represent and warrant that:

  • You have the legal authority to enter into this Agreement

  • Your promotional activities will comply with all applicable laws and regulations

  • You will not make false or misleading claims about SquareHero products

  • Your website and promotional channels do not contain illegal, defamatory, or offensive content

  • You own or have the right to use any content, images, or materials in your promotional efforts

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • SquareHero is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program

  • SquareHero's total liability shall not exceed the total commissions paid to you in the 12 months preceding any claim

  • SquareHero is not responsible for technical issues, tracking errors, or payment delays beyond our reasonable control

15. Indemnification

You agree to indemnify, defend, and hold harmless SquareHero Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

  • Your breach of this Agreement

  • Your promotional activities

  • Your violation of any laws or third-party rights

  • Any content you create or distribute

16. Relationship

You and SquareHero are independent contractors. This Agreement does not create a partnership, joint venture, employment, or agency relationship. You may not bind SquareHero to any obligation or represent yourself as an employee, agent, or authorized representative of SquareHero.

17. Confidentiality

You agree to keep confidential any non-public information about the Program, commission structures, or SquareHero business practices. This obligation survives termination of this Agreement.

18. Modification of Terms

SquareHero reserves the right to modify these Terms and Conditions at any time. We will notify affiliates of material changes via email or through the affiliate dashboard. Continued participation after notification constitutes acceptance of the modified terms.

19. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

20. Entire Agreement

This Agreement constitutes the entire agreement between you and SquareHero regarding the Affiliate Program and supersedes all prior agreements and understandings.
